· You, the natural or legal person who accesses and/or uses Deepanshi Massey in any manner (“you” or “your”).
By accessing or using the Deepanshi Massey platform (including website, mobile sites, apps, or any other digital access points), you expressly agree to be bound by these Terms. If you do not accept any of these Terms, do not use Deepanshi Massey.
Your use of the services, platform, and any purchase of products may also be governed by additional policies (“Additional Terms”) such as our:

· Cancellation, Refund, and Return/Exchange Policy
In case of any inconsistency between these Terms and applicable Additional Terms, the Additional Terms will prevail for that specific service or product.
Definitions

www.deepanshimassey.com, including website, mobile applications, and any other digital modes provided by us.
2. “Products” means apparel, accessories, and any other products offered for sale under the Deepanshi Massey brand on the Platform.
3. “Party” means either you or us individually; “Parties” means both you and us together.
These Terms are divided into sections. Please read them carefully before using the Site or purchasing Products.
1. Use of the Platform
1.1 This Site is owned and operated by Deepanshi Massey.

4. Product & Services Information
4.1 We strive to provide accurate and up-to-date information about Products (including colors, fabrics, sizes, and specifications). However, we do not guarantee that descriptions, colors, specifications, or other content are entirely accurate, complete, reliable, current, or error-free.
4.2 The Site may contain typographical errors, inaccuracies, or omissions. Product images are for illustrative purposes only and may not exactly match the actual item.
4.3 We reserve the right to correct, modify, or update any information—including pricing, availability, and product details—at any time without prior notice, even after you place an order.
5. Product Use
5.1 All Products offered on the Platform are intended solely for your personal and/or professional use.
Reselling or commercial use of our Products without explicit written authorization is strictly prohibited.
5.2 In case of misuse, improper care, or modification of Products after delivery, Deepanshi Massey is not liable for any damage or issues arising from such use.

7. Pricing Information

7.2 If a Product is listed at an incorrect price or with incorrect information due to technical or typographical errors, Deepanshi Massey reserves the right, at its sole discretion, to:
· Refuse or cancel such orders, unless the Product has already been delivered.
This is without limiting our Cancellation, Refunds, and Returns Policy (Section 8).
7.3 In case of a pricing error, we may:
· Contact you for further instructions, or
· Cancel your order and notify you accordingly.
Your order is not a binding contract until accepted and confirmed by Deepanshi Massey. We may modify prices or cancel orders before acceptance, contacting you via the email provided during registration or ordering.
7.4 Once your order is accepted:
· Payment will be charged to your chosen payment method, and
· You will receive confirmation via email.
Payment processing may occur before shipment. If an order is cancelled after payment, a full refund will be issued to the original payment method.
7.5 Prices and product availability are subject to change without prior notice at Deepanshi Massey’s sole discretion. Products may be discontinued at any time. If we cannot deliver within the expected timeframe or at all, you will be notified by email, and your order may be automatically cancelled.
We are not liable for damages or losses arising from such cancellations or delays.
8. Cancellations, Refunds, and Returns
Please refer to our Cancellation, Refund, and Returns Policy available on our Site for detailed information on:
· Return/exchange timeframes
· Condition requirements (e.g., tags, unused)
· Refund processing times
· Exceptions (e.g., custom/personalized items)
These Policies form part of these Terms.
9. Payments
9.1 Authorized Payment Recipient
All payments for products, services, and orders under Deepanshi Massey or any subsidiary brand shall be received and processed exclusively by:
AD Enterprises (the parent company).
9.2 Parent Company Liability
· AD Enterprises is solely responsible for the collection, management, and acknowledgment of payments.
· Any financial or transactional liability rests solely with AD Enterprises.
· Neither Deepanshi Massey nor any subsidiary bears direct liability regarding payments.
9.3 Dispute Resolution for Payments
Any disputes, claims, or issues related to payments (billing, refunds, non-receipt, etc.) shall be addressed only with AD Enterprises. Customers agree that subsidiaries, including Deepanshi Massey, have no obligation or responsibility in such matters.
9.4 Invoices and Receipts
All invoices, receipts, confirmations, and financial documents shall be issued directly by AD Enterprises on behalf of subsidiaries.
9.5 Accepted Modes of Payment
Payments may be made using:
· Credit Cards
· Debit Cards
· Net Banking
· Wallets
· e-Gift Cards
· Reward Points
Instant options (Credit Card, Debit Card, Net Banking) are recommended for faster order processing.
Note: Cash on Delivery (COD) is not available for orders placed outside India.
10. Shipping and Delivery
For shipping options, delivery schedules, charges, customs/duties, and related policies, please refer to our Shipping and Delivery Policy on the Site, which may be updated from time to time.
11. Chat Functionality
11.1 The Chat Functionality is provided to assist with queries about the Site. Use of this service is subject to these terms.
11.2 We reserve the right to suspend or discontinue chat at any time without prior notice.
11.3 We are not liable for delays in responding to or addressing your queries via chat. Communications may be recorded and stored by Deepanshi Massey for reference. Users do not have a right to access these records later.
11.4 You agree not to use chat to transmit:
· Unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable material, or
· Commercial solicitation (selling products or promoting business opportunities).
11.5 By using chat and engaging with our customer care representatives, you agree to comply with these terms.
12. User Content
12.1 Any information, images, chat messages, text, software, data, audio, graphics, videos, or other materials you submit, upload, post, email, or provide (“User Content”) are your sole responsibility. Deepanshi Massey disclaims liability relating to User Content.
12.2 You agree not to:
· Transmit content that infringes others’ rights or that you lack permission to use;
· Upload material that is harmful, harassing, defamatory, obscene, pornographic, hateful, racially/ethnically offensive, invasive of privacy, or unlawful;
· Post content that harms minors or promotes illegal activities;
· Infringe intellectual property rights (patents, copyrights, trademarks);
· Violate any applicable laws;
· Mislead or deceive recipients about the origin or nature of content;
· Impersonate any person or entity or falsely represent your affiliation;
· Distribute viruses, malware, or harmful code;
· Transmit content threatening the sovereignty, integrity, public order, or security of India or any other nation.
12.3 You agree to indemnify and hold harmless Deepanshi Massey from any claims or damages arising from your User Content or violation of these provisions.
Deepanshi Massey:
· Does not undertake to monitor, review, or evaluate User Content;
· Does not endorse or control User Content shared by users;
· Cannot guarantee its accuracy, quality, or integrity;
· Is not liable for errors, omissions, losses, damages, or other consequences arising from your use of User Content.
12.4 You waive any claims against Deepanshi Massey regarding alleged or actual violations of proprietary rights, privacy rights, moral rights, or rights of attribution in relation to any User Content.
12.5 We reserve the absolute right (though not obligation) to refuse to post, remove, modify, condense, or delete any User Content in our sole discretion, including content that violates these Terms or is objectionable. We may also refuse service, suspend, or terminate accounts without prior notice for violations.

Requests may take up to 30 business days to process and may not be completed without sufficient information.
13. Intellectual Property Rights
13.1 The name, logo, and all related marks of Deepanshi Massey, including product and service names, design marks, and slogans (collectively, “Marks”), are exclusive trademarks/service marks of Deepanshi Massey. All other trademarks belong to their respective owners.
Use of any Marks is prohibited without express written permission. Access to this Site does not grant any rights or licenses to use any Marks.
13.2 All content on the Site (text, software, images, graphics, design, layout, etc.—“Content”) is owned or licensed by Deepanshi Massey and protected by Indian copyright laws and international treaties. The compilation and arrangement of Content is exclusive property of Deepanshi Massey.

16. Disclaimer of Warranty and Limitation of Liability
16.1 “As Is” and “As Available” Basis
THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF:

· NON-INFRINGEMENT,
TO THE EXTENT PERMITTED BY APPLICABLE LAW.
16.2 No Liability for Use or Inability to Use
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER DEEPANSHI MASSEY NOR ITS HOLDING COMPANIES, SUBSIDIARIES, AFFILIATES, PARTNERS, OR LICENSORS SHALL BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE, INCLUDING BUT NOT LIMITED TO:
· Business interruption,
· Access delays or interruptions,
· Data loss or corruption,
· Damages resulting from third-party links,
· Computer viruses or malfunctions,
· Errors or omissions in content, or
· Events beyond our reasonable control.
16.3 No Indirect or Consequential Damages
FURTHERMORE, NEITHER DEEPANSHI MASSEY NOR ITS AFFILIATES SHALL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE RELEVANT PRODUCT(S) UNDER THESE TERMS.
16.4 Time Limit for Claims
ANY CLAIMS ARISING OUT OF OR RELATED TO THE USE OF THE SITE OR THESE TERMS MUST BE BROUGHT WITHIN ONE (1) YEAR FROM THE DATE THE CAUSE OF ACTION AROSE. After this period, such claims are barred.
16.5 Sole Remedy
IF YOU HAVE ANY DISPUTES OR ARE DISSATISFIED WITH THE SITE, YOUR SOLE REMEDY IS TO TERMINATE YOUR USE OF THE SITE. DEEPANSHI MASSEY DISCLAIMS ALL OTHER OBLIGATIONS AND LIABILITIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Product Use Disclaimer (Clothing)
This disclaimer is an integral part of these Terms of Use.
· Deepanshi Massey is not responsible for any allergies, skin irritation, or adverse reactions that may result from contact with fabrics, dyes, trims, or care chemicals in our clothing.
· It is the buyer’s responsibility to:
o Carefully read fabric composition and care labels,
o Perform a patch test if you have sensitive skin or known fabric/dye allergies, and
o Follow care instructions (washing, drying, ironing) as indicated on the garment or care label.
· Any information, advice, or recommendations provided (including on the Site, social media, chat, or emails) is general in nature and does not replace professional medical or dermatological consultation.
· Users rely on such information at their own risk. Deepanshi Massey, its employees, and affiliates disclaim all liability related to the use of any such information or to adverse reactions from wearing or using our Products.

17.1 No Endorsement
References to third-party names, marks, products, services, or hypertext links on this Site are provided solely for your convenience and do not imply endorsement, sponsorship, or affiliation by Deepanshi Massey.
17.2 No Responsibility for Third-Party Sites

18. Termination
18.1 Term and Termination
These Terms of Use remain effective until terminated by either you or Deepanshi Massey.

18.2 Effects of Termination
Upon termination:

20. Governing Law and Jurisdiction

20.2 Exclusive Jurisdiction
Any legal proceedings or disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
20.3 Arbitration
Any disputes or differences, whether regarding interpretation or other matters related to these Terms and Policies, shall be referred to an independent arbitrator jointly appointed by the parties.
· The arbitrator’s decision shall be final and binding.
· Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.
· The seat and venue of arbitration shall be New Delhi, India.
20.4 Injunctive Relief
Without prejudice to the above, Deepanshi Massey reserves the right to seek injunctive or provisional relief from any competent court to:
· Protect its intellectual property rights,
· Protect confidential information, or
· Maintain the status quo pending arbitration.
20.5 International Orders
For disputes concerning orders placed from outside India, international arbitration will apply under the Indian Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration in New Delhi, India.
21. Site Security
21.1 Prohibited Activities
You are strictly prohibited from violating or attempting to violate the security of the Site, including but not limited to:
· Accessing data or accounts for which you are not authorized;
· Attempting to probe, scan, or test the security or authentication measures of the Site or network without permission;
· Interfering with services to other users, including through viruses, flooding, spam, mail bombing, or causing system crashes;
· Sending unsolicited emails, including promotional materials;
· Forging header information in emails or postings.
21.2 Consequences and Investigation
Violations may result in civil or criminal liability.
Deepanshi Massey reserves the right to:
· Investigate such violations, and
· Cooperate with law enforcement authorities.
You agree not to use any software, device, or routine to interfere with the functioning of the Site or any activity conducted on it. Use of unauthorized tools, bots, or scraping mechanisms, other than generally available web browsers or official Site search engines, is prohibited.
22. Entire Agreement
22.1 Severability
If any provision of these Terms of Use is found invalid or unenforceable under applicable law:
· That provision shall be replaced by a valid provision that most closely aligns with the original intent, and
· The remainder of the Terms shall continue in full force.
22.2 Complete Agreement
These Terms constitute the entire agreement between you and Deepanshi Massey regarding your use of the Site and supersede all prior agreements, communications, and proposals, whether oral, written, or electronic.
22.3 No Waiver
Failure by Deepanshi Massey to enforce any breach or provision shall not be deemed a waiver of its rights to enforce any subsequent breaches.
